PARTNERSHIP AGREEMENT BETWEEN CHAUFFEURS & SERVICES AND AFFILIATES

PREAMBLE
The Company Chauffeurs & Services offers chauffeur-driven transportation services. The Affiliate wishes to provide transportation services as a partner of the Company. The parties agree to the following terms and conditions:

1. PURPOSE OF THE AGREEMENT
The purpose of this agreement is to define the conditions of partnership between the Company and the Affiliate for the provision of transportation services.

2. OBLIGATIONS OF THE AFFILIATE AND QUALITY OF SERVICE
The Affiliate undertakes to:

  • Provide transportation services in accordance with the Company’s quality standards.
  • Respect agreed pick-up and drop-off times and locations.
  • Maintain the vehicle in good working order and in compliance with safety standards.
  • Respect driving and road safety rules.

The Affiliate undertakes to provide services in accordance with the specified quality standards, to maintain its vehicle, and to comply with the insurance conditions described below. The Affiliate must guarantee a high level of quality for the services provided, including:

  • Punctuality and courtesy of the driver.
  • Vehicle comfort and cleanliness.
  • Customer satisfaction.

3. INSURANCE
The Affiliate must take out professional liability insurance covering the risks associated with its activity. In addition, the Affiliate is responsible for ensuring the vehicle used for transportation services. This insurance must cover all risks associated with the use of the vehicle in connection with the services provided, including property damage and personal injury. Insurance policies must be valid for the duration of this agreement and must be presented to Chauffeurs & Services upon request.

4. VEHICLE MAINTENANCE
The Affiliate is responsible for the regular maintenance and good working order of its vehicle. The vehicle must be in a perfect state of cleanliness and comply with legal requirements and safety standards. Additionally, the vehicle must be no more than 4 years old.

5. QUALITY OF SERVICE
The Affiliate must provide a high-quality service, including punctuality, vehicle comfort, and professional behavior towards customers. Failure to meet these obligations may result in corrective action or termination of the agreement.

6. CONFIDENTIALITY
The Affiliate undertakes to maintain the confidentiality of information relating to the Company and its customers. Any unauthorized disclosure or use of such information is prohibited.

7. INTELLECTUAL PROPERTY RIGHTS
All intellectual property rights relating to the Company’s brands, logos, and other elements remain the exclusive property of the Company. The Affiliate may only use these elements within the framework of this agreement and with the prior written consent of the Company.

8. DISCRIMINATION
The Affiliate undertakes to respect the principles of non-discrimination and to treat all customers, employees, and partners equally, regardless of race, gender, sexual orientation, religion, ethnic origin, or disability. Any form of discrimination is strictly prohibited and constitutes a serious breach of contractual obligations.

9. FINANCIAL CONDITIONS
The Affiliate’s remuneration will be based on a rate per service defined beforehand either by the Affiliate or by Chauffeurs & Services, with payment made within 30 days of receipt of the Affiliate’s properly submitted invoice.
The Affiliate shall inform Chauffeurs & Services of any additional charges or changes to the route made by the customer affecting the final price within 24 hours of the completion of the service.
The Affiliate is responsible for its tax obligations related to the remuneration received.

10. NON-SOLICITATION OF CUSTOMERS
The Affiliate undertakes not to canvass the Company’s customers directly. In the event of breach of this clause, a penalty of CHF 2000 will be applied, and the agreement will be terminated immediately.

11. NON-COMPETITION CLAUSE
The Affiliate undertakes not to offer competing services during the term of the agreement and for a period of 12 months after its termination, unless specifically agreed otherwise by both parties.

12. FORCE MAJEURE CLAUSE
Neither party shall be held liable for non-performance of its contractual obligations if such non-performance is caused by an event of force majeure, as defined by current legislation.

13. ACCEPTANCE OF SERVICES
Acceptance of any service by the Affiliate shall be deemed acceptance of the terms of this agreement.

14. REVISION OF TERMS AND CONDITIONS
The parties agree that the terms of this agreement may be revised by mutual agreement. Any modification must be in writing and signed by both parties.

15. LIABILITY CLAUSE
The Affiliate shall be liable for any damage caused during the provision of services and for any damage caused to the Affiliate’s vehicle. Chauffeurs & Services shall not be liable for any damage caused by the Affiliate.

16. EARLY TERMINATION CLAUSE
This agreement may be terminated prior to its term by either party with [number of days] days’ notice, subject to compliance with the specified termination conditions.

17. REPORTING OBLIGATIONS
The Affiliate shall provide regular reports concerning the services provided, in accordance with the terms and conditions defined by the Company.

18. LEGAL COMPLIANCE CLAUSE
The Affiliate shall comply with all applicable laws and regulations related to the provision of transportation services.

19. SUBSTITUTION CLAUSE
The Affiliate may, with the prior approval of the Company, substitute another professional or vehicle for the provision of services, provided that such substitutes meet the same quality standards.

20. DURATION AND TERMINATION
The agreement comes into force on the date of signature and is concluded for a period of 12 months. It may be terminated by either party giving 8 days’ notice. In the event of serious breach of contractual obligations, the Company reserves the right to terminate the agreement immediately.

21. REGULATIONS AND DISPUTES
This agreement is governed by Swiss law and the French version of this agreement is the original version. In the event of a dispute, the parties agree to submit their differences to the competent courts of Wollerau.
