Partnership with Chauffeurs & Services

Chauffeurs & Services provides you with a partnership agreement with its partner drivers and affiliates.

PREAMBLE

Chauffeurs & Services offers high-quality chauffeur-driven transportation solutions. The Affiliate undertakes to provide transportation services as a partner of the Company. The parties agree to the following terms and conditions.

The purpose of this agreement is to define the terms of collaboration between Chauffeurs & Services and the Partner for the provision of passenger transport services.
This agreement does not create any employment relationship. The Partner retains full independence in the organization of their activity and remains responsible for their own legal, social, and fiscal obligations.

The Partner acts in full independence and remains free to accept or decline any mission proposed via the Chauffeurs & Services platform.

Acceptance of a mission constitutes a contractual commitment by the Partner to perform the service in accordance with the agreed conditions (time, place, rate).

For missions the Partner chooses to accept, they agree to:

    • Comply with the quality standards defined by Chauffeurs & Services (punctuality, courtesy, vehicle cleanliness, passenger comfort).
    • Maintain the vehicle in perfect working order, safety condition, and legal compliance.
    • Ensure safe driving in full respect of traffic laws and passenger safety.

These standards are essential conditions of the partnership, without creating any subordination between Chauffeurs & Services and the Partner.

The Partner agrees to:

  • Hold professional liability insurance covering the risks related to their activity.
  • Use only vehicles insured in accordance with applicable laws.
  • Comply with all legal obligations related to the provision of passenger transport services (licenses, administrative authorizations, etc.).

Such insurance and authorizations must remain valid throughout the term of the agreement and may be requested at any time by Chauffeurs & Services.

Vehicles used for accepted missions must:

  • Be regularly maintained and kept in perfect cleanliness.
  • Comply with all applicable safety and legal standards in the country of operation.
  • Not exceed an age of 4 years, unless expressly approved in writing by Chauffeurs & Services.

Cancellation by the Partner

If the Partner cancels an accepted mission, compensatory fees will apply to cover commercial damages:

  • Less than 1 hour before pickup: 100% of the trip amount invoiced.
  • Between 1h and 12h before pickup: 50% of the trip amount.
  • Between 12h and 24h before pickup: 25% of the trip amount.
  • More than 24h before pickup: no penalty.

Partner No-show

Failure to appear for an accepted mission without prior notice results in a flat penalty of CHF 200 (or equivalent in local currency).

In case of recurrence, Chauffeurs & Services reserves the right to terminate the partnership.

Transfer of Mission

  • The transfer of a mission to a third party without prior written consent from Chauffeurs & Services is strictly prohibited.
  • In the event of authorized substitution, the replacement must meet all requirements of quality, insurance, and compliance provided in this agreement.
  • Missions are offered to the Partner via the Chauffeurs & Services platform, with the applicable rate indicated in advance.
  • All displayed prices are expressed excluding tax (VAT).
  • The Partner remains free to accept or refuse each mission proposed.
  • Once accepted, the Partner agrees to perform the service and comply with the indicated rate.
  • Chauffeurs & Services issues a summary report of services performed on the 1st of each month.
  • The Partner has a maximum of 5 calendar days from the report’s delivery to notify any errors or inconsistencies.
  • After this period, the report is deemed validated.
  • The Partner must then issue a monthly invoice addressed to Chauffeurs & Services, based on the validated report.
  • Payment is made within a maximum of 30 days following receipt of the monthly invoice.
  • The Partner is solely responsible for all tax and social security obligations related to their income.
  • Any change during the service (route modification, waiting time, schedule change, etc.) must be reported to Chauffeurs & Services no later than 24 hours after the trip, to ensure correct adjustment of the monthly report and invoicing.
  • The Partner agrees to maintain confidentiality regarding all information accessed under this partnership, particularly relating to clients.
  • Client contact details may only be used for the purpose of executing the accepted mission.
  • Any unauthorized or abusive use of client data may result in immediate termination of the partnership and, where applicable, legal proceedings.
  • The Partner shall not directly or indirectly solicit Chauffeurs & Services’ clients during the term of this agreement and for 12 months after its termination.
  • In case of breach, a flat penalty of €2,500 (two thousand five hundred euros) will apply, without prejudice to any additional damages and interest.
  • This clause does not limit the Partner’s general freedom to exercise their transport activity but solely prohibits the misappropriation of Chauffeurs & Services’ clientele.

When a Fleet Manager registers drivers under their company, they acknowledge full responsibility for:

  • The legal, social, and fiscal obligations related to their drivers.
  • Payment of salaries, social contributions, employer charges, and mandatory insurance.
  • The compliance of all documents submitted for their drivers.

The Fleet Manager agrees to provide, upon request, supporting documents proving compliance with these obligations.

Chauffeurs & Services cannot be held liable in case of undeclared drivers, unpaid contributions, or legal non-compliance attributable to the Fleet Manager.

The Partner remains free to accept or decline any mission offered.

However, repeated or unjustified refusals compromising the good execution of the partnership may result in temporary suspension or definitive termination of this agreement.

In case of serious or repeated breaches of contractual obligations (abusive cancellations, no-shows, failure to meet legal or insurance requirements, repeated client complaints, conduct damaging Chauffeurs & Services’ reputation), the partnership may be terminated immediately.

Such termination is a contractual consequence and not a disciplinary sanction.

The Partner is solely liable for any damage caused during the execution of an accepted mission, whether to clients, third parties, vehicles, or property.

The Partner is also liable for all fines, traffic violations, or legal breaches committed while performing services.

Chauffeurs & Services assumes no liability for any damage, incident, or dispute attributable to the Partner or, in the case of a Fleet Manager, to their affiliated drivers

Neither party shall be held liable for failure to perform its obligations due to force majeure as defined by law (natural disaster, war, strike, pandemic, unforeseeable administrative decision, etc.).

This agreement takes effect upon acceptance and is concluded for an indefinite term.

Either party may terminate the partnership at any time with 15 days’ written notice, except in the case of serious breach where immediate termination may apply.

Termination results in the immediate cessation of collaboration without indemnity, unless otherwise expressly provided.

This agreement is governed by Cypriot law.

In the event of a dispute, the parties agree to submit their case to the competent courts of Chauffeurs & Services’ registered office, located in Larnaca (Cyprus).

The French version of this agreement prevails over any translation.

Acceptance of a mission via the Chauffeurs & Services platform constitutes full and complete acceptance of the terms of this agreement, without the need for a handwritten signature.
